SHIPPING TERMS:
All goods specified in the agreement are sold F.O.B. seller’s plant, Tucson, AZ. Seller shall arrange for transportation to Buyer at the address shown herein. Goods shall be shipped under a straight bill of lading naming buyer as consignee. The bill of lading shall be sent to Buyer at the address that accompanies this agreement. The risk of loss of the goods shall pass to Buyer as soon as the goods are delivered to the carrier. All orders will be shipped with no signature service required.
DURATION OF PRICE ESTIMATE:
Any price quotation by Seller shall be binding only if made in writing and signed by Seller, reply from email inquires will also be binding. All such quotation shall be valid only for 30 days from the time it is made by Seller, unless otherwise stated.
DELIVERY:
Seller’s proposed delivery times are estimates only. Actual delivery and production times may vary and do not constitute a breach by Seller unless the delay is unreasonable. Strutwipes are manufactured the day after the order is complete. This is to provide the Buyer with the earliest manufactures date to prolong self life. Therefore, depending on size of the order, there may be a minimum one week lead time. Production and delivery schedules shall be extended if technical or commercial issues remain unresolved, if any payment is not timely received by Seller in full, due to acts of God or forces of nature, or in the event of circumstances beyond the control of seller. All international shipments will require “prepaid duty fees.” If you are not charged duty fees prior to shipment, in addition to a $25.00 processing fee, your credit card may be charged again for the balance K & M Industry incurs from the shipping company. Your failure to pay the Duty (and other) Fees at the time of delivery will result in a demand for payment from K & M Industry and we will charge your credit card for the fees and our services.
CANCELLATION:
This agreement is not subject to cancellation without Seller’s express written consent. Seller’s goods are not subject to return without Seller’s express written advance permission. Any approved returns are not subject to a restocking charge. Any freight, transportation, packing, loading, unloading costs related to returns are the responsibility of Buyer.
CLAIMS:
Strutwipe is guaranteed against defect in materials and workmanship for three years after date of manufacture. Claims of damage due to shipping, defect, or error must be made within 5 days after receiving your order. Buyer is liable for all shipping charges to and from our facility for replacement. Claims of freight damaged of missing items must be made to the freight carrier. We will be happy to assist you in making your claim. Returns of non-defective items must be made within 30 days after receiving the items, in its original packaging and in salable condition. Please check with us BEFORE ordering to determine if item is returnable, unless defective. No returns will be accepted after 30 days. This Agreement shall be governed by and construed in accordance with the laws of the State of Arizona. K & M Industry shall not be responsible for consequential damages beyond the price of the contract.
NET 30:
K & M Industry LLC will accept Net 30 terms for commercial buyers. Purchase order (PO) shall be issued prior to the order being processed. Buyer will provide shipping account on the PO to included desirable insurance amount. Buyer shall be responsible for shipping cost to include insurance. Net 30 shall start at date of invoicing. Net 30 POs shall not overlap unless previously agreed upon. If payment is not received by due date, interest of 28.5% will be added to the invoice compounded month (Prorated daily). K & M Industry LLC reserves the right to deny Net 30 at anytime.
